Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ADONIS Health platform, website, mobile applications, and all related telemedicine services (collectively, the “Services”) operated by ADONIS Health (“ADONIS,” “we,” “us,” or “our”). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be a resident of the United States
  • Be physically located in a state where our providers are licensed at the time of your consultation
  • Provide accurate, complete, and current information during registration and throughout your use of the Services
  • Have the legal capacity to enter into a binding agreement

2. Description of Services

ADONIS Health provides a telemedicine platform that connects patients with licensed healthcare providers for hormone optimization, wellness consultations, laboratory analysis, and related clinical services. Our Services include but are not limited to:

  • Telehealth consultations with board-certified physicians and licensed providers
  • AI-assisted laboratory result analysis and biomarker tracking
  • Prescription management, including compounded medications dispensed through licensed 503A pharmacies
  • Secure messaging between patients, providers, and concierge care coordinators
  • Health intake assessments and wellness monitoring

3. Not Emergency Services

Our Services are not intended for medical emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. ADONIS Health does not provide emergency medical services, urgent care, or crisis intervention. Do not use our platform to seek help for conditions requiring immediate in-person medical attention.

4. Telehealth Informed Consent

By using our telehealth Services, you acknowledge and agree that:

  • Telemedicine involves the delivery of healthcare services using electronic communications and technology, and is not a substitute for in-person medical care in all circumstances
  • There are potential risks, including but limited to: delays in evaluation and treatment due to technology failures, inability to perform physical examinations, and the possibility that information transmitted may be insufficient for appropriate medical decision-making
  • Your provider will determine whether your condition is appropriate for telemedicine evaluation and may recommend in-person care when clinically necessary
  • You have the right to withdraw consent and discontinue telehealth services at any time
  • Telehealth consultations are conducted over HIPAA-compliant, encrypted platforms

5. Account Registration & Security

When you create an account, you agree to:

  • Provide truthful, accurate, and complete information, including your legal name, date of birth, and medical history
  • Maintain the confidentiality of your account credentials (email and password)
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account
  • Not share your account or credentials with any other person

We reserve the right to suspend or terminate accounts that contain false information, are used fraudulently, or violate these Terms.

6. Prescriptions & Medications

You acknowledge and agree that:

  • All prescriptions are issued at the sole discretion of your licensed provider based on clinical evaluation. A consultation does not guarantee a prescription.
  • Compounded medications require a valid prescription. Peptides are sourced exclusively from licensed 503A compounding pharmacies. Other compounded medications, including hormone therapies, may be dispensed through licensed 503A compounding pharmacies or FDA-registered 503B outsourcing facilities, both operating under USP <797> sterile compounding standards.
  • You will use prescribed medications only as directed by your provider and report any adverse effects immediately
  • You will not share, sell, or distribute any medications prescribed through our Services
  • Refills are subject to ongoing clinical evaluation and provider approval
  • We do not prescribe controlled substances (Schedule I–V) through our platform

7. Payment & Billing

  • Fees for consultations, laboratory panels, medications, and other Services are displayed at the time of purchase and are due at the time of service
  • All payments are processed through PCI DSS-compliant third-party payment processors. We do not store full credit card numbers on our systems.
  • ADONIS Health is a direct-pay telemedicine service. We do not bill insurance. You are responsible for seeking reimbursement from your insurer, if applicable.
  • Subscription plans, if offered, will auto-renew unless cancelled before the renewal date. You may cancel at any time through your account settings.
  • We reserve the right to modify pricing with 30 days' advance notice

8. Refund & Cancellation Policy

  • Consultation fees are non-refundable once the consultation has been completed
  • Cancellations made at least 24 hours before a scheduled appointment may be eligible for a full refund or credit
  • Medications that have been compounded and shipped cannot be returned or refunded due to safety and regulatory requirements
  • If you are unsatisfied with your care, please contact us at support@adonis.health and we will work to resolve your concern

9. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, software, AI models, algorithms, and the overall design — are the exclusive property of ADONIS Health or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from our Services without our prior written consent.

10. Prohibited Uses

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Provide false or misleading information to obtain prescriptions or medical services
  • Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Use automated systems (bots, scrapers, etc.) to access the Services without our written permission
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Resell, redistribute, or commercially exploit the Services or any content therein

11. Disclaimers

Please read this section carefully.

  • The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • ADONIS Health does not guarantee specific clinical outcomes. Individual results vary based on health status, adherence to treatment plans, and biological factors.
  • Information provided through the Services, including AI-generated analysis and educational content, is for informational purposes and does not constitute a guarantee, promise, or prediction of results.
  • We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Limitation of Liability

To the maximum extent permitted by applicable law, ADONIS Health and its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. Our total aggregate liability for all claims arising from or related to the Services shall not exceed the amount you paid to ADONIS Health in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless ADONIS Health and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any information you provide through the Services that is false, misleading, or inaccurate.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved as follows:

  • Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at legal@adonis.health. We will attempt to resolve the dispute within 30 days.
  • Binding Arbitration: If informal resolution fails, all disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the state of your residence or remotely, at your election.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
  • Exceptions: Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles, except where preempted by federal law (including HIPAA).

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our website and updating the “Last Updated” date above. Continued use of the Services after modifications constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Services.

17. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. Upon termination:

  • Your right to use the Services ceases immediately
  • We will retain your medical records as required by applicable state and federal law
  • You may request a copy of your medical records in accordance with our Privacy Policy
  • Any outstanding payment obligations survive termination

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
